<p>Professor <a href="http://www.law.du.edu/jbrown/">J. Robert Brown</a> of the University of Denver College of Law (and a <a href="http://blogs.law.harvard.edu/corpgov/2007/09/28/the-tellabs-excuse-and-confidential-witnesses/">Guest Contributor</a> on <a href="http://blogs.law.harvard.edu/corpgov/2007/09/17/the-sec-corporate-governance-and-the-non-access-proposal/">this Blog</a>) recently provided a <a href="http://www.theracetothebottom.org/home/delawares-top-five-worst-shareholder-decisions-of-2007.html">&#8220;Top Five&#8221;</a> list of Delaware cases that&#8211;in his view&#8211;show why Delaware is &#8220;anti-shareholder and anti-plaintiff.&#8221; I realize that there are many experts who can rebut the professor&#8217;s arguments far more persuasively than I, and I am well aware that the Delaware bench certainly does not need my help to defend it.</p>
<p>Nonetheless, having just completed <a href="http://www.delawarelitigation.com/2007/12/articles/chancery-court-updates/overview-of-key-2007-corporate-and-commercial-decisions/">my review of key 2007 Delaware corporate decisions</a>, I offer my own &#8220;counter-list&#8221; of the <a href="http://www.delawarelitigation.com/2008/01/articles/chancery-court-updates/in-defense-of-delaware-corporate-law-opinions/">Top Five Cases of 2007</a> that show that the Delaware courts take shareholder rights and director duties very seriously. I could easily provide a longer list&#8211;but, for starters, here is an <a href="http://www.delawarelitigation.com/2008/01/articles/chancery-court-updates/in-defense-of-delaware-corporate-law-opinions/">alternative list of the Top Five Delaware Cases of 2007</a>.</p>
