<p>With the <a href="http://courts.delaware.gov/opinions/(unv2pcfh0kjkd24511s2zf55)/download.aspx?ID=109380" target="_new">Lyondell Chemical</a> case on <a href="http://courts.delaware.gov/opinions/(viwyx32ulc0ij4eejani22uc)/download.aspx?ID=111990" target="_new">appeal</a>, and with the <a href="http://dealbook.blogs.nytimes.com/2008/10/15/huntsman-and-hexion-take-on-the-banks/" target="_new">Huntsman/Hexion merger</a> still generating litigation activity, M&amp;A lawyers are looking forward to the presentation next Thursday afternoon by Professor Steven M. Davidoff (Click <a href="https://www.livemeeting.com/lrs/8000974022/Registration.aspx?pageName=7xhdks26djxgp2m7" target="_new">here</a> for more information and to register). His principal topic (The Failure of Private Equity), on which he writes in a forthcoming <a href="http://papers.ssrn.com/sol3/papers.cfm?abstract_id=1148178" target="_new">article</a>, is expected to focus on highlights from Delaware court decisions and proceedings in the past, tumultuous year, particularly as they reflect ambiguous contracting that has often proven ineffective to address the now-evident potential for market reversals. Additionally, Vice Chancellor <a href="http://www.law.harvard.edu/faculty/directory/index.html?id=488" target="_new">Leo E. Strine, Jr.</a> will join Professor Davidoff as commentator.</p>
<p>Writing as The Deal Professor, Davidoff is a commentator for the New York Times DealBook on the legal aspects of mergers, private equity and corporate governance. A former corporate attorney at Shearman &amp; Sterling, he is a professor at the University of Connecticut School of Law.
